Terms of using AuditPacket

1. What AuditPacket is
AuditPacket is document-organization and reconciliation-assistance software for bookkeepers and accounting professionals. You upload client card statement exports (CSV/XLSX) and receipt files (JPG, PNG, PDF), confirm receipt-to-transaction matches, flag missing documentation, and export PDF audit packets and missing-receipt reports.
AuditPacket is not accounting, tax, legal, audit, or compliance advice, and it does not connect to bank accounts, QuickBooks, Xero, client email inboxes, or accounting ledgers. It works only with the files you upload.
2. Eligibility and your account
You must be at least 18 and using the service for business purposes. You need an account to use the service; keep your credentials secure — you are responsible for activity under your account. Accounts are for individual use unless we agree otherwise. Do not share login credentials or allow others to access the service through your account.
3. Your content and client authorization
You own the files you upload and the reports you generate. You grant us the limited right to store and process them solely to provide the service to you.
The documents you upload will often belong to your clients. You are responsible for having the authority to upload and process them — including through the third-party extraction provider described below — and for complying with your professional obligations to your clients.
4. Extraction providers (OpenAI)
To power receipt extraction and match suggestions, uploaded receipt files, receipt images, PDFs, and text extracted from them may be sent to OpenAI’s API or a similar extraction provider. These providers help read fields such as merchant, date, amount, and similar receipt details.
We use OpenAI’s API platform, not consumer ChatGPT. According to OpenAI’s published API data controls as of the Last Updated date above, API data is not used to train or improve OpenAI models unless the API customer opts in, and API inputs and outputs may be retained by OpenAI for a limited period for service operation and abuse monitoring. OpenAI’s policies may change, and their handling of data is governed by their own terms and policies.
Do not upload documents you are not authorized to process through AuditPacket and its service providers.
We are not responsible for the acts, omissions, availability, or policies of third-party service providers, except to the extent required by applicable law.
5. Trial, fees, and cancellation
AuditPacket’s Professional plan is $79/month, billed month-to-month after a 30-day free trial. No payment details are required to start the trial.
You may cancel at any time. If you cancel during the free trial, you will not be charged. If you cancel after a paid billing period begins, your access continues through the end of the paid period.
Fees are non-refundable and we do not prorate partial months, except where required by law or expressly agreed in writing. If payment fails, we may suspend paid features, but your uploaded files and generated reports will remain subject to the retention period in Section 9.
We may change pricing or plan terms in the future. Price changes will apply no earlier than your next billing cycle after notice.
6. Acceptable use
Don’t use the service to store or process content you have no right to, attempt to access other users’ data, interfere with or probe the service, misrepresent reports as something they are not, or resell the service without our agreement.
7. Sensitive information
The service is designed for statements, receipts, and related business documentation. Do not intentionally upload full payment card numbers, government identification numbers, health records, payroll records, or other highly sensitive personal information unless AuditPacket expressly supports that use. Receipts sometimes contain partial card numbers or similar details in the ordinary course; you are responsible for judging whether a document is appropriate to upload.
8. Match suggestions and your responsibility
Automatic match suggestions are assistance, not conclusions. No match is final until you confirm it. You are responsible for reviewing all matches, determining whether a document sufficiently supports a transaction, deciding whether reports are appropriate to share with clients, accountants, auditors, or authorities, maintaining your own exports or backups of important records, and meeting your own professional obligations. AuditPacket does not guarantee any audit, tax, or compliance outcome.
9. Data export, deletion, and retention
While your account is active, your uploaded files and generated reports remain available until you delete them. You can export your PDF packets at any time.
If your subscription is cancelled, payment fails, or your account is closed, we may retain your uploaded files, generated reports, and workspace data for up to 90 days so you can export your records or reactivate your account. After that period, we may delete the data from active systems. Deleted data may remain in backups or logs for a limited period before being overwritten. You may request deletion sooner by contacting support@auditpacket.com.
10. Service availability and changes
We work to keep the service reliable, but we do not promise uninterrupted availability. We may improve, change, or discontinue features; if we discontinue the service entirely, we will provide reasonable notice and an opportunity to export your data consistent with Section 9.
11. Suspension and termination
We may suspend or terminate accounts that violate these Terms, fail to pay applicable fees, create security risk, misuse the service, or are required to be suspended by law. Where practical, we will notify you and give you a chance to export your data, consistent with Section 9.
12. Disclaimers
The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. AuditPacket does not provide accounting, tax, legal, audit, or compliance advice, and output from the service is not a substitute for professional judgment.
13. Limitation of liability
To the maximum extent permitted by law, AuditPacket and JaredCo Enterprises Inc. will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, tax penalties, audit outcomes, client claims, or reliance on inaccurate, incomplete, or delayed records.
To the maximum extent permitted by law, our total liability for all claims arising out of or related to the service will not exceed the amounts you paid to AuditPacket for the service in the 12 months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
14. Indemnity
You will indemnify and hold harmless AuditPacket and JaredCo Enterprises Inc. from third-party claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising from documents you upload without authority, your use of the service, your violation of these Terms, or your violation of obligations to your clients.
15. Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.
Any dispute arising out of or related to these Terms or the service will be brought in the state or federal courts located in Palm Beach County, Florida, unless applicable law requires a different venue. You and AuditPacket consent to the personal jurisdiction of those courts.
16. Changes to these terms
If these Terms change materially, we’ll update the date at the top of this page and, for significant changes, notify account holders by email. Continued use after a change means you accept the updated Terms.
